1. Introduction

Welcome to Ghaima Cloud ERP ("Platform"), operated by CloudERPs ("Company", "we", "us", or "our"). These Terms & Conditions ("Terms") govern your access to and use of our cloud-based ERP software-as-a-service platform, including all related services, features, and support.

By creating an account, subscribing to a plan, or otherwise using the Platform, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Definitions

• "Service" means the cloud-hosted Odoo ERP instance and related tools provided through the Platform.
• "Subscription" means the paid plan or trial period under which the Customer accesses the Service.
• "Data" means all information, files, and content uploaded, stored, or processed through the Service by the Customer.
• "Instance" means a separate, isolated deployment of the ERP software provisioned for the Customer.
• "User" means any individual authorized by the Customer to access the Instance.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Service Description

We provide cloud-hosted ERP solutions based on the Odoo platform, including but not limited to:

• Point of Sale, Sales & Inventory management
• HR & Payroll (Saudi-compliant)
• Accounting with ZATCA e-invoicing
• Multi-branch operations
• Dashboard & Analytics
• Custom modules and integrations

Service availability, features, and limits depend on your selected Subscription plan.

5. Subscription Plans & Billing

5.1 Subscription plans are offered on a monthly or annual basis. Pricing is displayed on our website and may be updated with 30 days' notice.

5.2 Payments are due at the beginning of each billing cycle. Failure to pay may result in suspension or termination of the Service.

5.3 Free trial accounts are subject to usage limitations and will expire automatically at the end of the trial period unless converted to a paid plan.

6. Customer Data

6.1 You retain all ownership rights to your Data. We do not access, use, or share your Data except as necessary to provide the Service or as required by law.

6.2 You are responsible for the accuracy, legality, and integrity of your Data.

6.3 We perform daily automated backups of your Instance. You may also create manual backups through the platform. Upon termination, your Data will be available for export for 30 days.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other users' instances or our infrastructure
• Use the Service for cryptocurrency mining, spam, or other resource-abusive activities
• Resell or sublicense the Service without prior written consent

8. Service Level & Uptime

We target 99.5% monthly uptime for the Platform. Scheduled maintenance windows will be communicated in advance. Downtime due to planned maintenance, force majeure, or third-party service outages is excluded from uptime calculations.

9. Support

Technical support is provided based on your Subscription plan. Support channels, response times, and scope are detailed in our Support Plans page.

10. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Termination

11.1 You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing cycle.

11.2 We may suspend or terminate your account for violation of these Terms, non-payment, or abusive behavior, with reasonable notice where possible.

11.3 Upon termination, you may export your Data within 30 days. After this period, we may delete your Data permanently.

12. Intellectual Property

The Platform, including its design, code, trademarks, and documentation, is the intellectual property of the Company. Your Subscription grants you a non-exclusive, non-transferable right to use the Service during the Subscription term.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days in advance. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved in the competent courts of Riyadh, Saudi Arabia.
